BROADCASTER AGREEMENT

This Broadcaster Agreement ("Agreement") establishes the terms between Imperium Technologies LLC ("Company", "Platform", "we", "us") and individuals who apply and are accepted to broadcast and earn revenue on the Xavioo platform ("Broadcaster", "you").

By applying to be a Broadcaster or by cashing out your earned virtual credits into fiat or digital assets, you agree to these terms.

1. INDEPENDENT CONTRACTOR STATUS

1.1. No Employment Relationship: You are an Independent Contractor. Nothing in this Agreement creates an employer-employee relationship, partnership, joint venture, or agency relationship between you and the Company.

1.2. No Benefits: You are not an employee of Imperium Technologies LLC and are not entitled to worker's compensation, health insurance, holiday pay, pension, or any other benefits typically associated with employment.

2. PAYOUTS AND TAX RESPONSIBILITY

2.1. Payment Method: The Company pays Broadcaster earnings through the payout methods made available on the Platform. Before any payout is issued, the Broadcaster must complete the Company's onboarding requirements, including identity verification and the applicable tax documentation (IRS Form W-9 for U.S. persons, or the applicable Form W-8 for non-U.S. persons).

2.2. Tax Reporting by the Company: The Company complies with the reporting and withholding obligations imposed on it by applicable law, including United States federal tax law. Where required, the Company will issue the applicable information return and will apply any withholding required by law or by an applicable tax treaty.

2.3. Broadcaster's Own Obligations: The Broadcaster is an independent contractor and is solely responsible for declaring and paying any income tax, social security contributions, or value-added tax due in their own country of residence. The Company does not withhold or remit such local taxes on the Broadcaster's behalf and does not provide tax advice. Broadcasters should consult their own qualified tax advisor.

3. REVENUE SHARE AND PAYOUTS

3.1. Revenue Share: Broadcasters earn virtual credits (diamonds/gems) from user interactions (gifts, private room fees). The Broadcaster is entitled to thirty percent (30%) of the net value generated by their received virtual credits. The remaining seventy percent (70%) is retained by the Company to cover platform maintenance, payment processing fees, chargeback risks, server costs, and corporate profit.

3.2. Payout Threshold: Payouts can only be requested once your account balance reaches the minimum withdrawal threshold displayed on your Broadcaster dashboard.

3.3. Payout Schedule: Payout requests are processed within a standard net period (e.g., Net-15 or Net-30) as specified on the Platform.

4. COMPLIANCE AND CONTENT

4.1. Strict Age Requirement: You must be 18 years of age or older to be a Broadcaster.

4.2. Identity and Age Records: Before you are permitted to broadcast, upload, or receive any payout, you must provide a valid government-issued photo identification establishing that you are at least 18 years of age, together with a signed content release for the material you submit. You must provide the same records for every other individual appearing in your content. These records are retained by our Custodian of Records in accordance with 18 U.S.C. § 2257 and 28 C.F.R. Part 75. Failure or refusal to provide them will result in suspension of your Broadcaster status.

4.3. Adherence to Rules: You must strictly follow the Terms of Service and Community Guidelines. Broadcasting prohibited content (e.g., CSAM, non-consensual content, extreme violence) will result in immediate termination, forfeiture of all unpaid earnings, and reporting to law enforcement.

4.4. Penalty for Chargebacks: In the event that a user issues a chargeback for credits they spent on your stream, the Company reserves the right to deduct the corresponding percentage from your pending balance.

5. TERMINATION

The Company reserves the right to terminate this Agreement and your Broadcaster status at any time, for any reason, with or without cause. Upon termination for a violation of rules, any pending earnings will be forfeited.
