BROADCASTER AGREEMENT

This Broadcaster Agreement ("Agreement") establishes the terms between Imperium Technologies LLC ("Company", "Platform", "we", "us") and individuals who apply and are accepted to broadcast and earn revenue on the Xavioo platform ("Broadcaster", "you").
By applying to be a Broadcaster or by cashing out your earned virtual credits into fiat or digital assets, you agree to these terms.
1. INDEPENDENT CONTRACTOR STATUS
1.1. No Employment Relationship: You are an Independent Contractor. Nothing in this Agreement creates an employer-employee relationship, partnership, joint venture, or agency relationship between you and the Company.
1.2. No Benefits: You are not an employee of Imperium Technologies LLC and are not entitled to worker's compensation, health insurance, holiday pay, pension, or any other benefits typically associated with employment.
2. DIGITAL ASSET PAYOUTS AND TAX DECLARATION DISCLAIMER
2.1. Payment Method and Reporting: The Company may transfer the Broadcaster's earned earnings as a "digital reward" through methods determined by the platform (such as digital wallets, crypto assets, or alternative payment providers). The Company operates subject to the laws of Wyoming, USA and does not report any users or earnings to the local tax authorities of the Broadcaster's country of residence.
2.2. Tax Initiative Belongs to the Broadcaster: The Company will under no circumstances withhold taxes on behalf of the Broadcaster. The entire initiative and legal obligation regarding whether the obtained earnings are declared, legalized, or taxed according to the tax laws of the broadcaster's own country belongs entirely and exclusively to the Broadcaster.
2.3. Company's Exemption: The Company is completely exempt from any legal, criminal, or financial liability that may arise from the Broadcaster's failure to comply with their local laws, failure to file tax returns, or the use of informal payment methods. The Broadcaster agrees that they cannot hold the Company liable in these matters.
3. REVENUE SHARE AND PAYOUTS
3.1. Revenue Share: Broadcasters earn virtual credits (diamonds/gems) from user interactions (gifts, private room fees). The Broadcaster is entitled to thirty percent (30%) of the net value generated by their received virtual credits. The remaining seventy percent (70%) is retained by the Company to cover platform maintenance, payment processing fees, chargeback risks, server costs, and corporate profit.
3.2. Payout Threshold: Payouts can only be requested once your account balance reaches the minimum withdrawal threshold displayed on your Broadcaster dashboard.
3.3. Payout Schedule: Payout requests are processed within a standard net period (e.g., Net-15 or Net-30) as specified on the Platform.
4. COMPLIANCE AND CONTENT
4.1. Strict Age Requirement: You must be 18 years of age or older to be a Broadcaster.
4.2. Adherence to Rules: You must strictly follow the Terms of Service and Community Guidelines. Broadcasting prohibited content (e.g., CSAM, non-consensual content, extreme violence) will result in immediate termination, forfeiture of all unpaid earnings, and reporting to law enforcement.
4.3. Penalty for Chargebacks: In the event that a user issues a chargeback for credits they spent on your stream, the Company reserves the right to deduct the corresponding percentage from your pending balance.
5. TERMINATION
The Company reserves the right to terminate this Agreement and your Broadcaster status at any time, for any reason, with or without cause. Upon termination for a violation of rules, any pending earnings will be forfeited.
